Intercept Music, Inc. Terms and Conditions for Websites and Services Use

These Terms and Conditions ("Terms") govern your access to and use of the websites, services, and products offered by Intercept Music, Inc. ("Intercept Music," "we," "us," or "our") through the following platforms:

These Terms are incorporated by reference into the Intercept Music End User License Agreement (EULA) and the Intercept Music Privacy Policy, which together govern your use of the Sites and Services. By accessing or using the Sites, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Sites and Services.
1. Proprietary Rights
1.1 Ownership: The Sites, including all content, code, software, design, and materials (e.g., audio, video, images, text, graphics, and data), are owned exclusively by Intercept Music or its licensors. All rights, title, and interest in the Sites and their content are protected by copyright, trademark, patent, and other intellectual property laws.
1.2 Limited License: You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Sites for personal, non-commercial purposes. This license does not transfer ownership of any content or intellectual property.
1.3 Prohibited Use: You may not copy, modify, distribute, sell, license, or exploit the Sites' content without express written permission from Intercept Music or the applicable rights holder. Unauthorized use may result in civil or criminal liability.
2. Trademarks
2.1 Intercept Trademarks: All trademarks, logos, and service marks ("Trademarks") displayed on the Sites are owned by Intercept Music or their respective owners.
2.2 Prohibited Use of Trademarks: You may not use any Trademarks displayed on the Sites without prior written consent. Unauthorized use of Trademarks for misleading, defamatory, or commercial purposes is strictly prohibited and may result in legal action.
3. User Information and Privacy
3.1 Collection of User Information: By using the Sites, you may provide personal information such as your name, email address, and payment details ("User Information"). For details on how we collect, use, and protect your information, please refer to our Privacy Policy.
3.2 Accuracy and Responsibility: You are responsible for ensuring that all User Information you provide is accurate, complete, and up-to-date.

4. Submitted Materials

During the term of this agreement, you grant Intercept Music a royalty-free, worldwide, perpetual, irrevocable, and transferable license to use, reproduce, modify, adapt, and distribute the materials in any form or medium.
4.3 No Obligation: Intercept Music is under no obligation to use, retain, or return any Submitted Materials.
5. User Conduct
When using the Sites, you agree not to:
- Post or transmit unlawful, offensive, defamatory, obscene, or otherwise objectionable content.
- Violate intellectual property rights or other proprietary rights.
- Interfere with or disrupt the operation or security of the Sites or Services.
- Attempt to gain unauthorized access to any part of the Sites or Services.
- Use the Sites for spamming, phishing, fraud, or other malicious activities.
- Engage in unauthorized data scraping, mining, or harvesting.
- Purchase fraudulent streaming for your music and video.
Intercept Music reserves the right to monitor, suspend, or terminate accounts and access for violations of these Terms.
6. Account and Password Security
6.1 Account Responsibility: If you create an account on the Sites, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
6.2 Unauthorized Access: Notify us immediately at support@interceptmusic.com if you suspect unauthorized use of your account.
6.3 Account Termination: Intercept Music reserves the right to suspend or terminate your account for violations of these Terms or suspected unauthorized activity.
7. Products and Services
7.1 Order Terms: When you purchase products or services through the Sites, you agree to pay the listed price and applicable taxes.
7.2 Payment: Payments must be made using accepted payment methods. Refunds are subject to the terms outlined during your purchase.
7.3 Age Requirement: You must be at least 18 years old to make purchases or use the Sites and Services.
8. Third-Party Links
The Sites may contain links to third-party websites or services ("Linked Sites"). Intercept Music is not responsible for the content, terms, privacy policies, or practices of Linked Sites. Access Linked Sites at your own risk.

9.2 Changes to Terms: We may update these Terms from time to time. Material updates will be communicated via a notice on the Sites, email, or by addendum. Continued use of the Sites after updates constitutes acceptance of the revised Terms.
9.3 Addenda for Specific Services: Intercept Music reserves the right to issue addenda to these Terms to address specific services, features, or legal requirements. Such addenda will form part of these Terms upon notification.
10. Disclaimer of Warranties
The Sites and Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied. Intercept Music disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law:
- Intercept Music and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Sites or Services.
- In no event shall Intercept Music's total liability exceed the amount you paid for Services in the 12 months preceding the claim.
12. Governing Law and Dispute Resolution
12.1 Governing Law: These Terms are governed by the laws of the State of California and applicable federal laws, without regard to conflict of law principles.
12.2 Dispute Resolution: Any disputes arising from these Terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association (AAA). Both parties waive the right to a jury trial or class action.
13. Miscellaneous Provisions
13.1 Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.2 No Waiver: Failure to enforce any provision of these Terms does not constitute a waiver.
13.3 Entire Agreement: These Terms, together with the EULA, Privacy Policy, and any addenda, constitute the entire agreement between you and Intercept Music regarding your use of the Sites and Services.
